Terms of Service

These terms govern access to and use of GagePulse. By creating an account, clicking to accept, or using the service, you agree on behalf of yourself and the organization you represent. Last updated: April 30, 2026.

1. The service

GagePulse provides cloud software for managing calibrated measurement assets, associated metadata, documents such as PDF certificates, workflows including role-based access and audit history, and optional higher-tier capabilities described on our pricing and features pages. We may update the service as long as we do not materially reduce core functionality of a paid tier without reasonable notice.

2. Accounts and eligibility

You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account until you notify us of compromise and we have a reasonable opportunity to respond. You may not use the service if you are legally barred from receiving cloud software in your jurisdiction.

3. Customer data and license

As between us, you retain rights to data you submit to GagePulse (“Customer Data”). You grant us a non-exclusive license to host, process, and display Customer Data solely to provide and secure the service, support you, and comply with law. You represent that you have all rights necessary to upload Customer Data — including calibration certificates where applicable.

4. Acceptable use

You agree not to:

  • Violate law or infringe third-party rights;
  • Attempt to bypass security, access other tenants’ data, or probe the service for vulnerabilities except through coordinated disclosure;
  • Use the service to distribute malware, conduct denial-of-service attacks, or send unsolicited bulk messages;
  • Mine cryptocurrency, run unauthorized automated scraping at unreasonable rates, or reverse engineer the service except to the extent statutory law permits;
  • Upload unlawful content or content you lack rights to store.

We may suspend or terminate access for material violations after reasonable notice when practicable.

5. Subscription, fees, and taxes

Paid plans are billed in advance according to the plan you select. Fees are billed through our payment processor. Taxes may apply based on your location and exemption status. Downgrades and cancellations take effect at the end of the current billing period unless stated otherwise at purchase.

6. Confidentiality

Each party may receive non-public information from the other. Recipient will use discloser’s confidential information only for the relationship and protect it with reasonable care. This obligation does not apply to information that is public without fault, independently developed, or rightfully received from a third party.

7. Warranties and disclaimer

The service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. GagePulse does not warrant that calibration outcomes, regulatory determinations, or audit results will be favorable — the software assists record-keeping; it does not replace engineering judgment or accredited lab decisions.

8. Limitation of liability

To the fullest extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill; and (b) our aggregate liability arising from these terms or the service will not exceed the amounts you paid us in the twelve (12) months before the claim (or, if none, fifty U.S. dollars). These limits do not apply where prohibited by law.

9. Indemnity

You will defend and indemnify us against third-party claims arising from Customer Data you provide, your violation of these terms, or your violation of law — except to the extent caused by our willful misconduct.

10. Term and termination

These terms apply from first use until terminated. You may stop using the service at any time. We may suspend or terminate for breach, risk to security, or extended non-payment. Upon termination, we will delete or return Customer Data according to our retention schedule and product functionality; some retained copies may persist briefly in backups.

11. Governing law and disputes

These terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Courts in Delaware have exclusive jurisdiction, subject to mandatory consumer protections in your home jurisdiction where applicable.

12. General

These terms constitute the entire agreement regarding GagePulse and supersede prior discussions. If a provision is unenforceable, the remainder stays in effect. Failure to enforce is not a waiver.
